If all milestone payments are achieved, the total transaction value could reach approximately $3.8 billion. The upfront purchase price represents roughly a 40% premium over AtaiBeckley’s 30-day volume-weighted average share price prior to the announcement, reflecting Lilly’s confidence in the long-term commercial potential of the company’s biotechnology pipeline.

The acquisition has been unanimously approved by the boards of directors of both companies and is expected to close during the third quarter of 2026, subject to shareholder approval, regulatory clearances, and other customary closing conditions.
